Terms of Service

Welcome to FantasyPilot (the "Service"). These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "user," or "player"), and FantasyPilot LLC ("we," "us," or "our"), concerning your access to and use of our web application, mobile-optimized site, and the official FantasyPilot Chrome Extension (collectively, the "Product").

By registering an account, installing our Chrome Extension, or accessing the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree, you are strictly prohibited from using the Service and must cease use immediately.

1. User Eligibility & Geographic Restrictions

• Age Requirements: To register an account or use the Service, you must be at least 18 years of age. Residents of Alabama and Nebraska must be at least 19 years of age, and residents of Massachusetts must be at least 21 years of age. We strictly do not target, collect data from, or market to individuals under the age of 18 (COPPA compliance).
• Territory Restrictions: The Service is intended and made available strictly for residents of the United States. By using this Service, you represent and warrant that you reside within the United States. You are strictly prohibited from accessing our league synchronization or AI analytical features from jurisdictions outside the United States.

2. Account Registration & Third-Party Syncing

To fully utilize the Service, you must link your third-party platform accounts (specifically Sleeper.com and LeagueSafe.com) using our Chrome Extension.

• Security of Credentials: You are responsible for maintaining the confidentiality of your active session tokens. Storing these tokens in `chrome.storage.local` provides local isolation, but you remain fully responsible for any activity that occurs under your FantasyPilot account.
• Authorized Access Only: You represent and warrant that you own or are an authorized commissioner or co-owner of any fantasy sports league data, rosters, and financial ledgers synced to your account.

3. Billing, Subscriptions, and Refund Policy

• Payment Processing: All billing, subscription management, and fees are processed securely and exclusively through Stripe as our third-party billing engine. We do not store or directly process your credit card or financial account numbers on our servers.
• All Sales Final: All payments, subscription fees, and transactions made to FantasyPilot LLC are non-refundable. All sales are final. We do not provide prorated refunds, credits, or billing adjustments for partial subscription months or unused analytical features.

4. AI-Native Output Disclaimer & No Fiduciary Duty

FantasyPilot utilizes advanced large language models (specifically Google Gemini LLM APIs) and machine learning calibration algorithms to generate player valuations, dynasty trade ratings, rankings, and strategy advice.

• Entertainment & Information Only: All trade suggestions, valuations, and insights are generated strictly for entertainment and informational purposes.
• No Professional or Fiduciary Duty: FantasyPilot LLC does not act as a financial advisor, sports agent, attorney, or fiduciary. The Service does not provide professional financial or legal counseling.
• Liability Disclaimer: You assume 100% of the risk for any actions, rosters changes, trades executed, or financial entry-fees committed in your leagues. We disclaim all liability for any "bad trades," losses of league standings, lost entry fees, or negative outcomes resulting directly or indirectly from your reliance on our AI recommendations.

5. Agentic Autopilot & Delegation of Authority

The Service may include background automated syncs, autopilot league administrative recommendations, or automated roster checking features (collectively, "Autopilot Features").

• Delegated Authority: If you enable any automated or Autopilot Features, you explicitly grant FantasyPilot LLC's background systems and designated AI agents the authority to interact with synchronized platform data on your behalf.
• Full User Liability: You assume full legal, athletic, and financial responsibility for any actions executed by your designated AI agents on autopilot. You remain bound by any modifications, adjustments, or ledger synchronization entries initiated by the Service's automated routines.

6. Agent-to-Agent (A2A) Contractual Binding

In the event that the Service introduces autonomous trading, negotiation, or contract-making capabilities between your designated AI agents and those of other users (such as automated trade negotiations on Sleeper):

• Contractual Enforceability: You agree that any agreement, trade proposal, or terms fully negotiated and executed autonomously between your designated AI agent and another user's AI agent are legally binding upon you as the human principal.
• Waiver of Liability: You explicitly waive the right to challenge or void any transaction negotiated autonomously between AI agents, and you agree that FantasyPilot LLC is not liable for "bad deals," statistical errors, or mistakes made during autonomous Agent-to-Agent negotiations.

7. Intellectual Property & Ownership of Content

• Platform IP: All code, designs, algorithms, graphics, and the "FantasyPilot Co-Commish" branding are the exclusive property of FantasyPilot LLC.
• AI-Generated/Synthetic Content: We claim no copyright over purely AI-generated text, league newsletters, or trade summaries generated on your behalf. We grant you a perpetual, royalty-free, non-exclusive license to use, copy, and distribute any hybrid content (platform metrics combined with AI text) for your personal, non-commercial league communication.

8. Governing Law, Binding Arbitration & Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

• Governing Law: These Terms and your relationship with us shall be governed by, and construed in accordance with, the laws of the State of Florida, without regard to its conflict of law principles.
• Mandatory Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the Product shall be settled exclusively by individual, binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be Florida, and the arbitration shall be conducted in the English language.
• Class-Action Waiver: You and FantasyPilot LLC agree that any arbitration or legal proceeding shall be limited to the dispute between us individually. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR REPRESENTATIVE LEGAL PROCEEDINGS.

9. Limitations of Liability & Indemnification

To the maximum extent permitted by applicable law, in no event shall FantasyPilot LLC, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, loss of league entry fees, lost profits, data loss, or goodwill) arising out of your use of the Service. Our total cumulative liability to you for any claims shall not exceed the amount you paid to us for the Service during the prior twelve (12) month period.

You agree to defend, indemnify, and hold harmless FantasyPilot LLC from and against any claims, damages, obligations, losses, liabilities, costs, or debt (including attorney’s fees) arising from your use of the Service, your violation of these Terms, or any trade or financial dispute in your private leagues.
